Arclin Completes Financial Restructuring
Company Emerges with Significantly Improved Capital Structure and
Enhanced Competitive Position

MISSISSAUGA, Ontario – January 15, 2010 – Arclin, a privately held provider of bonding and surfacing solutions, today announced that it has successfully completed its financial restructuring and emerged from protection under Chapter 11 of the United States Bankruptcy Code and the Companies' Creditors Arrangement Act (“CCAA”) in Canada.

Arclin has met all closing conditions of its Plan of Reorganization and Plan of Arrangement.  As previously announced, Arclin’s Plan of Reorganization was confirmed by the United States Bankruptcy Court for the District of Delaware on December 8, 2009, and Arclin’s Plan of Arrangement was approved by the Ontario Superior Court of Justice on December 11, 2009.

Arclin’s funded indebtedness has been reduced from US$234 million to US$60 million.  Affiliates of Black Diamond Capital Management, L.L.C. and Silver Point Capital, L.P., the Company’s lenders, have exchanged debt for equity and are now majority owners of the Company.  Additionally, the Company has obtained a revolving line of credit facility for US$25 million with Bank of America.

Arclin will continue to further enhance its position as an innovative supplier and its commitment to environmental stewardship.

Arclin Announces the Addition of its Portland, OR and Hayward, WI Facilities to its FSC Chain of Custody Certification

MISSISSAUGA, Ontario – November 6, 2009 –Arclin, a leading provider of bonding, surfacing and related products for today’s engineered building, industrial materials and natural resources markets recently announced that their Portland, OR and Hayward, WI Surfaces facilities have been added to its FSC Chain of Custody Certification. The Certification now covers all of Arclin’s Surfaces facilities including Tacoma, WA which received its certification in 2008.

Arclin announces E-Natural™ and E-Sorb™, the most advanced low and zero emitting binders for composite wood panels.

MISSISSAUGA, Ontario – November 6, 2009 – Arclin, a privately held provider of bonding and surfacing solutions, today announced that it has filed a Plan of Reorganization (the “Plan”) with the United States Bankruptcy Court for the District of Delaware (the “Court”).  The Company intends to seek confirmation of the Plan at a confirmation hearing before the end of the year.

Arclin, a leading provider of bonding, surfacing and related products for today’s engineered building, industrial materials and natural resources markets announced the addition of two new product lines of binders for wood panels designed to meet the most stringent emission requirements for composite wood panels.

Arclin’s E-GenTM designated family of wood binder systems has been expanded to include E-NaturalTM ultra low-emitting systems and E-SorbTM zero-emitting systems. E-Natural TM binders are designed to meet the lowest emission performance standards in the world. These systems are ideally suited for California’s “Ultra Low Emitting Formaldehyde (ULEF)” applications as they emit at or below naturally occurring levels while maintaining performance characteristics.

E-SorbTM zero-emitting binders are the best-in-class ULEFs. Their inherent scavenging ability negates even naturally occurring emissions, making them an exceptional option for sensitive building environments as well as helping panel manufacturers control emissions when large amounts of reclaimed or urban wood are introduced into their raw material stream.

Filing Represents Significant Milestone in Restructuring Process

MISSISSAUGA, Ontario – September 22, 2009 – Arclin, a privately held provider of bonding and surfacing solutions, today announced that it has filed a Plan of Reorganization (the “Plan”) with the United States Bankruptcy Court for the District of Delaware (the “Court”).  The Company intends to seek confirmation of the Plan at a confirmation hearing before the end of the year.

Arclin’s Plan has broad support from the Company’s first and second lien lenders.  Under the terms of the Plan, Arclin’s funded indebtedness will be reduced from US$234 million to US$60 million.

Arclin’s Portland, OR Overlays Plant Reduces VOC Emissions by 70%


Mississauga, ON Canada (August 7, 2009) – Arclin, a leading provider of bonding, surfacing and related products for today’s engineered materials and natural resources market recently announced that as a result of ongoing improvements and technology upgrades, they have been able to reduce annual VOC emissions by 70% at their Portland, OR location.

“Historically this location has been permitted at a 90% process air cleaning efficiency level but our commitment to continuous improvement forces us to challenge that” says Bill DeWitt, Director Strategy Deployment.  “During recent maintenance events, we were able to take advantage of new technological upgrades that have allowed us to re-permit for a new Title V Air Operating Permit at 97% air cleaning efficiency.  This improved efficiency will result in a reduction of up to 250 tons of VOC emissions per year.  That is something our team is very proud of”.

MISSISSAUGA, Ontario – July 29, 2009 – Arclin, a privately held provider of bonding and surfacing solutions, today announced that its U.S. companies, which filed voluntary petitions for relief under Chapter 11 of the United States Bankruptcy Code, received approval from the United States Bankruptcy Court for the District of Delaware on all “first day” motions.  As previously announced, Arclin’s Canadian companies made a filing with the Ontario Superior Court of Justice and have obtained an Initial Order authorizing Arclin to reorganize under the Companies’ Creditors Arrangement Act (“CCAA”), which provides certain protections from creditors and restructuring powers.  The approvals by the U.S. and Canadian courts allow Arclin to continue to support its customers, suppliers and employees during the restructuring process. 

The Courts granted Arclin interim approval to access $15 million of its US$25 million in financing.  This new financing and cash generated from the Company’s ongoing operations will be used to support the business during the restructuring process. 

The Company also received approval to, among other things, pay employee wages, salaries, benefits and certain other employee obligations.  Additionally, the Company is authorized to pay ordinary course post-petition expenses and will continue to serve its customers in the ordinary course.

 MISSISSAUGA, Ontario – July 27, 2009 – Arclin, a privately held provider of bonding and surfacing solutions, announced today that it has reached an agreement in principle (“the agreement”) with certain of its key senior lenders on the terms of a financial restructuring to strengthen the Company’s balance sheet and enhance its financial flexibility.
Under terms of the agreement, Arclin’s funded indebtedness will be reduced from US$234 million to US$60 million.  A post-petition financing facility of US$25 million is also part of the financial restructuring.

In order to facilitate its financial restructuring, Arclin today elected to file for court-supervised restructuring proceedings in the United States and in Canada.  Arclin’s U.S. companies have filed voluntary petitions for relief under Chapter 11 of the United States Bankruptcy Code in the United States Bankruptcy Court for the District of Delaware.  Arclin’s Canadian companies have made a filing with the Ontario Superior Court of Justice and have obtained an Initial Order authorizing Arclin to reorganize under the Companies’ Creditors Arrangement Act (“CCAA”).  Arclin’s subsidiaries in Mexico are not included in the filings.  

Claudio D’Ambrosio, Arclin’s President and Chief Executive Officer, said, “We are very pleased to have reached an agreement in principle with certain of our key senior lenders, which we believe underscores their confidence in our business, and represents an important step forward for our company.  Although our operations are strong and our diverse portfolio of businesses has helped us maintain positive operating EBITDA in 2009, continued weakness in our core markets has reduced our cash flow and our ability to comply with certain covenants under our debt obligations.  Our current capital structure was put in place in 2007, under a different economic climate and at the top of the last business cycle.  We are now taking appropriate steps to align our capital structure with the realities of today’s markets and economy. Having reviewed the options available, we determined that the court-supervised restructuring proceedings will accelerate – and finalize – our financial restructuring and that this is the best course of action for Arclin.  This restructuring process will allow us to continue to support our customers, suppliers and employees while we work to enhance Arclin’s position as a strong and innovative supplier.”

In conjunction with the filings, Arclin has received a commitment for US$25 million in financing.  Upon approval by the U.S. Bankruptcy Court and the Ontario Superior Court of Justice, the new financing, combined with cash generated from the Company’s ongoing operations, will be used to support the business during the restructuring process.  Arclin intends to continue to meet its obligations going forward to its customers, suppliers and employees.

Arclin Receives Permit for Formaldehyde Production Facility in Sexsmith, AB

Mississauga, ON Canada (October 15, 2008) – Arclin announced today that they have recently received approval from the Alberta Natural Resources Conservation Board for a new formaldehyde production plant in Sexsmith Alberta, concluding that the project would be in Alberta’s public interest. 

“This is exciting news”, says Claudio D’Ambrosio, President and CEO of Arclin.  “Having the ability to produce our own formaldehyde will further complement the world class resin facility recently completed by eliminating the reliance on out-sourced formaldehyde.  Although start up operations are still suspended due to market conditions, Arclin will be well positioned to serve the forest products, oilfield chemicals, natural resources and agricultural markets in western Canada, once economic conditions improve.”

Arclin continues to support the region out of its Kamloops BC and Thunder Bay, ON facilities and has recently installed a new rail spur in Thunder Bay to further aid in the Sexsmith expansion.

Arclin to raise prices for Melamine Resins

MISSISSAUGA, ON (September 5, 2008) - Arclin announced today that they will be increasing prices on all melamine resins effective September 15th, 2008, or as contract terms allow.   Market conditions have pushed melamine crystal prices up an additional $0.20/lb as of September 1st and recent hurricane activity in the Gulf has placed additional pressure on both pricing and availability.

Arclin Suspends Start-up Operations at Sexsmith, AB

Mississauga, ON Canada (May 22, 2008) - Arclin, a leading provider of bonding and surfacing solutions for today’s engineered materials markets, announced today they will be suspending start-up operations of their new Sexsmith, AB resin plant, citing reduced demand for adhesives in the region. 

 “The severe downturn and recession in the US housing market coupled with a strong Canadian Dollar have resulted in a large number of closures of wood products facilities in Western Canadian thereby significantly reducing resin demand”, says Claudio D’Ambrosio, president and CEO of Arclin.  “We will preserve the facility in its current state and will re-initiate start-up activities as soon as demand returns.”   “Tremendous effort from our employees and area contractors has gone into bringing this state of the art facility on line and is greatly appreciated,” says D’Ambrosio.  “We are committed to this project and will continue dialogue with our customer base to gauge the appropriate time to start up the plant”.  Arclin will continue to satisfy their customer needs in the region out of their Kamloops, BC and Thunder Bay, ON facilities.

Dynea North America Acquired By Canadian Investment Firm
New Stand-Alone Company To Be Renamed Arclin

MISSISSAUGA, ON (July 10, 2007) – Teachers’ Private Capital, the private investment arm of the Ontario Teachers’ Pension Plan (OTPP), has completed the purchase of specialty resins and paper overlays producer Dynea North America from Dynea Chemicals Oy of Finland. Terms of the sale were not disclosed.

Effective immediately, Dynea North America is now an independently managed company and will be renamed Arclin, a leading provider of bonding and surfacing solutions. With annual sales of more than $650 U.S. million and more than 750 employees employed across 15 facilities in the United States, Canada and Mexico, Arclin is a leading specialty resins and paper overlays supplier to a variety of markets, including engineered wood and panels, building materials and specialty industrial applications.

Arclin will retain its executive management team with more than 60 years experience in the engineered materials industry, led by Garry McClean, President and CEO.

Dynea’s Melamine Adhesive Exceeds American Wood Council Requirements
For Elevated-Temperature Adhesives

MISSISSAUGA, ON (May 31, 2007) – Dynea, a global leader in providing high-performance adhesion and surfacing solutions, announced today that its Prefere™ 4720/5025A melamine adhesive has exceeded the highest American Wood Council (AWC) requirements for heat resistance of adhesives used in the manufacture of finger-jointed lumber. Testing was conducted according to Method A of the AWC Elevated-Temperature Adhesive Qualification Procedure, from which a successful result covers all lumber species, lumber grades, and finger-joint profiles.

Documentation has been submitted to the American Lumber Standard Committee (ALSC) and Canadian Lumber Standards Accreditation Board (CLSAB) for review.  Acceptance by both the ALSC and CLSAB is expected and will provide a North American-wide designation of Prefere 4720/5025A as a Heat Resistant Adhesive (HRA).  Several key ALSC-accredited grading agencies have already provided interim approvals for HRA designation of Prefere 4720/5025A on the grade stamps of their member mills. The acceptance and HRA designation will apply to both vertical use finger- jointed studs and structural exterior use joints, as Prefere 4720/5025A has also met all requirements of ASTM D2559 and CSA O112.9 standard test methods for adhesives intended for use in structural, exterior exposure applications.
